Terms of Service

Please read these Terms of Service carefully before using the Qangles platform or any related services. These Terms govern your access to and use of Qangles Inc.'s Quantum-as-a-Service platform and constitute a legally binding agreement between you and Qangles Inc.

1. ACCEPTANCE OF TERMS

By accessing or using the Qangles platform, website, APIs, quantum circuit tools, simulation environments, developer kits, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services. These Terms constitute a legally binding agreement between you and Qangles Inc.

2. DESCRIPTION OF SERVICES

Qangles Inc. provides a Quantum-as-a-Service (QCaaS) platform designed to make quantum computing accessible, practical, and enterprise-ready. Our Services include: • Quantum circuit design, simulation, and execution environments • Access to quantum hardware backends and high-fidelity simulators • Quantum Machine Learning (Quantum ML) tools and hybrid quantum-classical APIs • Developer kits, SDKs, and integration frameworks • Academic and enterprise co-innovation programs • Support, documentation, and community resources

3. ACCOUNT REGISTRATION & ELIGIBILITY

To access certain features of our Services, you must create an account. You agree to: • Provide accurate, current, and complete information during registration • Maintain the security and confidentiality of your account credentials • Promptly notify us of any unauthorized use of your account • Be at least 16 years of age or have authorization from an institutional administrator • Comply with all applicable export control laws and regulations Qangles reserves the right to suspend or terminate accounts that violate these Terms or applicable laws.

4. ACCEPTABLE USE POLICY

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not: • Use the Services to violate any applicable law, regulation, or export control requirement • Attempt to reverse engineer, decompile, or disassemble any part of the platform • Upload or transmit malicious code, viruses, or harmful content • Engage in unauthorized access to other users' workspaces or data • Use the Services to develop weapons of mass destruction or for activities prohibited under export control laws • Misrepresent your identity, institutional affiliation, or intended use of quantum resources • Conduct denial-of-service attacks or otherwise disrupt platform operations

5. INTELLECTUAL PROPERTY

5.1 Qangles IP All intellectual property rights in the Services — including the platform, software, algorithms, documentation, branding, and proprietary quantum frameworks — are owned by Qangles Inc. or its licensors. These Terms do not grant you any ownership rights in our Services. 5.2 Your Content You retain ownership of quantum circuits, algorithm configurations, research datasets, and other content you create within your workspace ("Your Content"). By using the Services, you grant Qangles a limited, non-exclusive license to process, store, and transmit Your Content solely as necessary to provide the Services to you.

6. PAYMENT TERMS & SUBSCRIPTIONS

Access to certain features requires a paid subscription or purchase of Quantum Compute Units (QCUs). • All fees are stated in U.S. dollars and are non-refundable except as required by law • Subscriptions automatically renew unless cancelled before the renewal date • You authorize Qangles to charge your payment method on a recurring basis • Qangles reserves the right to modify pricing with reasonable advance notice • Failure to pay may result in suspension or termination of access to paid features

7. CONFIDENTIALITY

Each party agrees to keep confidential any non-public information of the other party that is designated as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law. Enterprise and academic workspace administrators are responsible for ensuring their users comply with applicable confidentiality obligations.

8. EXPORT CONTROLS & COMPLIANCE

Quantum computing technology and certain research outputs may be subject to U.S. export control laws, including the Export Administration Regulations (EAR). By using the Services, you represent and warrant that: • You are not located in, or acting on behalf of, entities in jurisdictions subject to comprehensive U.S. sanctions • You will not use the Services to develop, design, test, or produce items controlled under export regulations without appropriate authorization • You will comply with all applicable export control, sanctions, and anti-boycott laws Qangles reserves the right to restrict or terminate access where required to maintain compliance.

9. DISCLAIMERS & LIMITATION OF LIABILITY

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, QANGLES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICES.

10. GOVERNING LAW & DISPUTE RESOLUTION

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

11. MODIFICATIONS TO TERMS

Qangles reserves the right to modify these Terms at any time. If we make material changes, we will notify you by email to your registered address or through a prominent notice within the platform at least 14 days before the changes take effect. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms.
